These Terms of Service (the "Terms") govern your access to and use of the Apps-EcoSystem platform (the "Service"). By creating an account, completing a purchase, or otherwise using the Service, you ("you", the "User", "Customer") agree to these Terms and enter into a binding agreement (the "Agreement") with the Operator. If you do not agree, do not use the Service.
2.1. The Operator grants you access to the Service: provisioning, operation and ongoing updates of a Telegram Bot, a Telegram Mini App and an administrative dashboard configured for your business (tutor, service or store niche), together with AI-assisted setup tools and base content for the selected niche.
2.2. In consideration of the Service, you pay the Operator the applicable Subscription fees and any amounts consumed from your Balance for Usage-Based Services, in accordance with these Terms.
2.3. The detailed description, available features, limits, prices and usage rates of each Plan and of the Usage-Based Services are published on the Site and may be updated by the Operator as described in Section 12.
3.1. The Operator provides a free Demo before any payment is taken. The Demo includes a starter Telegram Bot and Mini App built for your niche after you answer the onboarding questions on the Site or in the Operator's registration bot.
3.2. The Demo is provided for evaluation purposes only, "as is" and "as available", with no representations or warranties.
3.3. The Demo does not require payment and does not, by itself, conclude a paid Agreement.
4.1. To use the paid Service you must register and provide accurate, current and complete information, and keep it up to date.
4.2. By using the Service you confirm that you have full legal capacity to enter into the Agreement, that you have read and understood these Terms, and that the data you provide on the Site and in the Telegram Bot is accurate and belongs to you.
4.3. The Service is intended for business use by adults. You are responsible for all activity under your account.
4.4. The Operator may refuse to provide or continue the Service to a particular User, including in cases of suspected fraud, violation of Telegram's Terms of Service, or violation of applicable law.
5.1. The Service is offered in tiers (e.g. Basic, Pro), each available with monthly or annual billing. The exact list of Plans, the features included, the Billing Periods, the prices and the rates for Usage-Based Services are published on the Site at the moment of purchase and are displayed in U.S. Dollars (USD) unless otherwise stated on the Payment Page.
5.2. Prepaid Balance. Usage-Based Services are paid for from a prepaid Balance that you top up in advance. As you use a Usage-Based Service, the corresponding amount is deducted from your Balance at the rates published on the Site. The Operator's published rates are inclusive of the Operator's service margin over any underlying third-party costs.
5.3. Prices and rates on the Site are exclusive of any taxes, VAT, duties or levies that may apply in your jurisdiction, unless collected by the payment provider at checkout. You are responsible for any such taxes or duties not collected at checkout.
5.4. The Operator may change the prices, rates, features and limits of the Plans and Usage-Based Services at any time. Changes are published on the Site and apply to all new purchases, top-ups and renewals from the date of publication. An active prepaid Subscription retains the price under which it was purchased until the end of the current Billing Period.
5.5. Your selection of a Plan, Billing Period or Balance top-up, together with successful payment, constitutes acceptance of the price or rate displayed on the Site at the time of payment.
6.1. Payments are processed through Telegram Stars, Telegram Payments and/or third-party payment service providers integrated with the Site. The list of available payment methods may vary by country.
6.2. Merchant of Record. Where a purchase is processed by a third-party payment provider acting as merchant of record (for example, Paddle), that provider handles the transaction, billing and tax collection and acts as the seller of record for that transaction. The provider's buyer terms and policies apply to the payment in addition to these Terms, and certain billing or refund requests may be handled directly by that provider.
6.3. The Operator may require you to provide on the Payment Page or in the Telegram Bot the data necessary to process payments, including your first and last name (or business name), email address, country and, where required by the payment provider, billing address.
6.4. Auto-renewal. Subscriptions renew automatically at the end of each Billing Period for the next Billing Period of the same length, at the price of the corresponding Plan in effect on the renewal date, unless you cancel auto-renewal in the administrative dashboard before the end of the current Billing Period.
6.5. Failed payment. If a renewal payment fails, the Operator grants a grace period of up to seven (7) days during which the Service remains active. If payment is not completed within the grace period, the Service may be suspended until payment is received.
6.6. All bank, card-processing and currency-conversion fees charged by your bank or by third-party payment providers are borne by you.
Refunds are governed by our Refund Policy, which forms part of these Terms.
8.1. The Operator grants you a non-exclusive, non-transferable, revocable license to use the Service for your own business purposes during the term of an active Subscription.

8.3. The Operator may suspend or terminate the Service immediately, without refund, upon a material breach of clause 8.2.
9.1. You are solely responsible for the content, offers, prices, descriptions, schedules, prompts and any other information you create, generate or publish through your Telegram Bot, Mini App or administrative dashboard, including content produced using the AI generation features.
9.2. You warrant that you have all rights necessary to use and publish such content and that it does not infringe any third-party rights, including intellectual property, privacy and personality rights.
9.3. End-customer data. When you collect or process personal data of your own end customers through your Telegram Bot or Mini App, you act as the data controller for that data, and the Operator acts as a processor on your behalf. You are responsible for having a lawful basis and the required notices and consents for that processing.
9.4. The Operator does not pre-moderate User content but may, at its discretion, suspend or remove content and/or suspend the Telegram Bot upon a complaint or upon detection of activity that violates these Terms, Telegram's Terms of Service, or applicable law.
10.1. The Service is provided "as is" and "as available". The Operator does not warrant uninterrupted or error-free operation and is not responsible for outages, malfunctions or content-moderation actions of Telegram, AI providers, payment providers or other third parties.
10.2. To the maximum extent permitted by applicable law, the Operator's aggregate liability under or in connection with the Agreement is limited to the total fees actually paid by you to the Operator during the twelve (12) months preceding the event giving rise to the liability.
10.3. The Operator is not liable for indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profits, customers, goodwill or business interruption, even if advised of the possibility of such damages.
10.4. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by mandatory law.
11.1. The Agreement enters into force upon your acceptance of these Terms and continues for as long as you maintain an active Subscription.
11.2. You may terminate at any time by cancelling auto-renewal and ceasing use of the Service. The Service remains available until the end of the current prepaid Billing Period; no partial refund is provided except as stated in the Refund Policy or required by law.
11.3. The Operator may terminate immediately, without refund, in case of a material breach by you, fraudulent conduct, abuse of the Service, or unlawful use. In other cases, the Operator may terminate with thirty (30) days' prior notice published on the Site or sent through the Telegram Bot.
12.1. The Operator may amend these Terms at any time. The amended Terms are published on the Site with a new effective date.
12.2. Amendments take effect fourteen (14) calendar days after publication, unless an earlier date is required by law. Continued use of the Service after the new effective date constitutes acceptance of the amended Terms.
12.3. If you do not agree with an amendment, you may terminate the Agreement before the new effective date in accordance with clause 11.2.
13.1. These Terms and the Agreement are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-laws principles.
13.2. The Parties shall attempt to resolve any dispute amicably through good-faith negotiations. The pre-trial dispute-resolution period is thirty (30) calendar days from receipt of a written claim.
13.3. If a dispute cannot be resolved through negotiations, it shall be submitted to the competent courts of the Socialist Republic of Vietnam at the Operator's place of residence.
